Section 1: Acceptance of Terms

By accessing or using the Vidly platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Vidly reserves the right to modify these Terms at any time. We will notify users of significant changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes.


Section 2: Description of Service

Vidly provides a Software as a Service (SaaS) platform designed to ingest, analyze, and transform raw video content into structured workflows. The Service includes AI-powered transcription, speaker identification, decision extraction, and integration capabilities with third-party productivity tools. The specific features and functionalities available may vary depending on your subscription plan.


Section 3: Account Registration and Responsibilities

To use the Service, you must register for an account. You represent that you are at least eighteen (18) years old and have the legal capacity to enter into these Terms. You agree to provide accurate, current, and complete information about yourself during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Vidly immediately of any unauthorized use of your account or any other breach of security.


Section 4: Acceptable Use Policy

You agree not to use the Service for any unlawful purpose, to interfere with or disrupt the Service or servers or networks connected to the Service, or to attempt to gain unauthorized access to the Service or other accounts, systems, or data. Prohibited activities include, but are not limited to: uploading malware, violating copyright laws, transmitting hate speech, or scraping video content from third-party sources without explicit permission.


Section 5: Intellectual Property and Content Ownership

Vidly and its licensors own all rights to the software, user interface, and proprietary technologies comprising the Service. The content you upload to Vidly (videos, transcripts, workflows) remains your property, subject to your contractual obligations to us. You grant Vidly a worldwide, royalty-free, non-exclusive license to use, copy, and process your content solely for the purpose of providing the Service and improving our AI models.


Section 6: Payment Terms and Refund Policy

Payment for the Service is due monthly or annually, depending on the plan selected. We accept credit cards and other electronic payment methods. All fees are non-refundable except as required by law. For new customers, Vidly offers a 14-day free trial. If you cancel within the trial period, you will not be charged. After the trial concludes, you may cancel your subscription at any time; however, no refunds will be issued for the remainder of the current billing cycle.


Section 7: Limitation of Liability and Disclaimers

To the maximum extent permitted by law, Vidly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. Vidly's total aggregate liability to you for all claims relating to the Service shall not exceed the fees you paid to Vidly under this Agreement in the twelve (12) months prior to the claim's occurrence.


Section 8: Termination and Suspension

Either party may terminate these Terms by providing written notice to the other party via email. Vidly reserves the right to suspend or terminate your account and access to the Service immediately, without prior notice, for conduct that violates these Terms or is deemed harmful to our operations.


Section 9: Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association under its rules, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
